Merchant Terms
1. Scope
These Merchant terms set out the commercial relationship between you and ZIRAPAY LLC, registered at 312 W 2nd St, Unit 3949, Casper, WY 82601, USA, for accepting online payments through the Zirapay checkout. They apply alongside our Terms of service; where the two cover the same point, these Merchant terms govern the commercial relationship for accepting payments.
2. Accepting payments
You may accept payments only for genuine sales of your own goods and services. You agree to follow card-network rules, to present clear and accurate pricing before checkout, and to describe what the customer is buying and the terms of the sale. You are responsible for the legality of what you sell and for fulfilling every order you accept.
3. Fees
Fees are charged per approved payment at the rates of your plan, as set out on our pricing page or in your order. Because Zirapay is built around your approval rate, you are not charged on failed or hard-declined payments — you pay only when a payment is approved. We may update standard rates with reasonable notice.
4. Settlement & payouts
Approved payments are settled and paid out to your nominated bank account on the schedule shown in your dashboard, net of our fees, refunds and any amounts we are entitled to hold. Payout timing can depend on your acquirer, your payout currency and the verification status of your account.
5. Refunds & chargebacks
You can refund a payment in whole or in part from the dashboard or API. When you refund a payment, we return our fixed per-transaction fee for that payment. Chargebacks are governed by card-network rules; where a customer disputes a payment, a chargeback fee set by the network applies, and disputed amounts may be debited from your balance pending the outcome.
6. Currency conversion
Where a payment is taken in a currency other than your payout currency, or where you present prices in multiple currencies, conversion is applied at the rate and margin shown in your dashboard at the time of the transaction. The applicable conversion fee, if any, is part of your plan.
7. Reserves & holds
To manage risk such as refunds, chargebacks and unfulfilled orders, we may apply a reserve or hold part of your balance, in line with card-network requirements and your risk profile. Where we do, we will tell you the basis and the amount, and we release reserves once the related risk has passed.
8. Term
These Merchant terms apply for as long as you use Zirapay to accept payments. Either party may end the relationship as described in the Terms of service; on termination, we will settle amounts due to you after accounting for refunds, chargebacks and any reserve, subject to card-network timeframes.
